TAKE NOTE. This Terms of Use Agreement ("Terms of Use or Terms and Conditions") applies to use of the Cars.co.ke website located at http://www.cars.co.ke (the "Site"). The Site is owned and operated by Almond Communications plus its assigns (hereinafter referred to as Cars.co.ke). By your use of this website you hereby agree that you are at least eighteen (18) years of age and further hereby agree to be bound by this Terms of Use and in the event that you do not agree to the same then do not use the Site.
Cars.co.ke reserves the right, at its sole discretion, to change, add or remove portions of this Terms of Use, at any time. It is your responsibility to check this Terms of Use each time before your use of the Site. And your continued use of the Site following the posting of changes will mean that you accept and agree to the changes. You agree that all subsequent use of the Site by you will be subject to the terms and conditions of this Terms of Use, which shall apply until a new and or modified Terms of Use is posted and thereafter the use of the Site by you shall be subject to such modified Terms of Use. As long as you comply with this Terms of Use and any such modifications, Cars.co.ke grants you ("End User") a personal, non-exclusive, non-transferable, non-sublicensable, limited privilege to enter and use the Site.

1. ONLINE ADVERTISING AND RESEARCH SERVICE:

Cars.co.ke operates the Site as an online advertising and research service for car buyers, sellers and enthusiasts. Cars.co.ke does not sell vehicles directly and is never a party to any transaction between buyers and sellers. Consequently, Cars.co.ke does not (a) guarantee or ensure any vehicle or any transaction between a buyer and seller, (b) collect or process payment or transfer of title on behalf of buyers or sellers, or (c) warehouse, store, ship or deliver any vehicles.

2. LISTING OF CARS:

By listing your vehicle for sale through the Site, you acknowledge and agree that: (a) the vehicle you list for sale is in your possession; (b) you have the right to transfer the advertised vehicle's title to the purchaser; (c) you are willing to sell the advertised vehicle at the price and on any other terms specified in your listing; (d) your listing shall be guided by both these Terms of Use and also such detailed privileges and limitations as provided for the various classes of Accounts; (e) upon selling or otherwise taking your vehicle off the market, you will within forty-eight (48) hours delete the listing for that vehicle; (f) all content and information that you provide to Cars.com is truthful, accurate and complete; and (g) you have the full right, title and interest in and to all content, photos and other material that you provide to, or post on the Site; (h) photos provided for listing on the Site will only show the vehicle listed for sale and may not include under any circumstances people, animals, or other objects not part of the vehicle. Cars.co.ke reserves the right, in its sole discretion, to remove any listing or photo, without notice and without liability or providing a refund, that does not meet the requirements of Cars.co.ke’s Terms & Conditions, Cars.co.ke's policies, or if Cars.co.ke otherwise determines or believes, in Cars.co.ke's sole and exclusive discretion, that your listing or any photo or other content you upload is inappropriate for any legal, business, technical or other reason.

3. Content; Copyright and Trademark Notice.

All media (downloaded or samples), software, images, graphics, photographs, artwork, text, user interfaces, video, music, trademarks, service marks logos and other content on the Site (hereinafter collectively referred to as "Content"), including but not limited to the design, selection, arrangement, and coordination of such Content on the Site is owned or licensed by or to Cars.co.ke or its assigns, and is protected by copyright, trade mark, service mark, and other intellectual property rights laws. Except as expressly provided in this Terms of Use, no part of the Site and or Content may be reproduced, recorded, retransmitted, sold, rented, broadcasted, distributed, published, uploaded, posted, publicly displayed, altered to make new works, performed, digitized, compiled, translated or transmitted in any way to any other computer, website or any other similar or different medium or for any commercial purpose, without Cars.co.ke's prior express written consent. Except as expressly provided herein, you are not granted any rights or license to patents, copyrights, trade secrets, trade marks, service marks or rights of publicity with respect to any of the Content, and Cars.co.ke reserves all rights not expressly granted hereunder. Cars.co.ke hereby expressly disclaims all responsibility and liability for uses by you of any Content obtained on or in connection with the Site.
Cars.co.ke is a trading name of Almond Communications and all custom graphics, icons, logos and service names used in the Site are trading or servicing marks or logos of Cars.co.ke with all the other trade marks or service marks being the property of their respective owners. The use of any trading name, trade mark or service mark without Car.co.ke’s or the respective owner’s express written consent is strictly prohibited.

4. Registration; Accounts;

Use of Site. Certain services offered on or through the Site require you to first open an Account. You are responsible for maintaining the confidentiality of your Account information, including your password, and for all activity that occurs under your account. You agree to notify Cars.co.ke immediately of any unauthorized use of your account or password, or any other breach of security. You may be held liable for losses incurred by Cars.co.ke or any other user of the Site due to someone else using your password or account. You may not use anyone else's password or account at any time. You may not attempt to gain unauthorized access to the Site. Should you attempt to do so, assist others in making such attempts, or distributing instructions, software or tools for that purpose, then your Account will be terminated. You agree to provide us with accurate, current and complete information about yourself and all such information as prompted by the registration process. You may update any of your Account information. You may not use any automatic device, program, algorithm or methodology, or any similar or equivalent manual process, to access, acquire, copy, probe, test or monitor any portion of the Site or any Content, or in any way reproduce or circumvent the navigational structure or presentation of the Site or any Content, to obtain or attempt to obtain any materials, documents or information through any means not purposely made available through the Site. You agree that you will not take any action that imposes an unreasonable or disproportionately large load on the infrastructure of the Site or any of the systems or networks comprising or connected to the Site.

You also agree that Cars.co.ke may, in its sole discretion and without prior notice to you, terminate your access to the Site and your Account for any reason, including without limitation: (1) attempts to gain unauthorized access to the Site or assistance to others' attempting to do so, (2) overcoming software security features limiting use of or protecting any Content, (3) discontinuance or material modification of the Site or any service offered on or through the Site, (4) violations of this Terms of Use, (5) illegal or unlawful use of the site, (6) suspected or actual copyright infringement, (7) unexpected operational difficulties, or (8) requests by law enforcement or other government agencies. You agree that Cars.co.ke will not be liable to you or to any third party for termination of your access to the Site.

5. Consent To Collection, Use & Disclosure of Your Personal Information.

As more detailed in our Privacy Policy, you must disclose certain Personally Identifiable Information to use our Site, register, and make purchases. As a condition of registering with our Site or using our site for whatever purpose, you represent that you have first read our Privacy Policy and consent to the collection, use and disclosure of your Personally Identifiable Information and Non-Personally Identifiable Information as described in our Privacy Policy. Our Privacy Policy's terms and conditions will change from time to time, and as a condition of browsing the Site, using any features or making any purchase, you agree that you will first review our Privacy Policy prior to making any initial or subsequent purchases.

While Cars.co.ke takes reasonable steps to safeguard and to prevent unauthorized access to your personal information, we cannot be responsible for the acts of those who gain unauthorized access, and we make no warranty, express, implied, or otherwise, that we will prevent unauthorized access to your private information. IN NO EVENT SHALL Cars.co.ke OR ITS ASSIGNEES OR AFFILIATES BE LIABLE FOR ANY DAMAGES (WHETHER CONSEQUENTIAL, DIRECT, INCIDENTAL, INDIRECT, PUNITIVE, SPECIAL OR OTHERWISE) ARISING OUT OF, OR IN ANY WAY CONNECTED WITH, A THIRD PARTY'S UNAUTHORIZED ACCESS TO YOUR PERSONAL INFORMATION, REGARDLESS OF WHETHER SUCH DAMAGES ARE BASED ON CONTRACT, STRICT LIABILITY, TORT OR OTHER THEORIES OF LIABILITY, AND ALSO REGARDLESS OF WHETHER CARS.CO.KE WAS GIVEN ACTUAL OR CONSTRUCTIVE NOTICE THAT DAMAGES WERE POSSIBLE.
 

6. Consent To Our Communication With You By E-Mail. By registering on the Site and or creating an Account with us, and each time you use the Site, you grant permission for Cars.co.ke to contact you at your e-mail address. To stop receiving our marketing emails, send an e-mail to us at cars@cars.co.ke or follow the opt-out procedures set forth in such marketing emails.

7. Indemnification.

You agree to indemnify and hold harmless Cars.co.ke and its parents, sister companies, subsidiaries, affiliates, service providers, other End Users, distributors, licensors, officers, directors and employees from any claim or demand, including reasonable attorneys' fees, made by any third party arising out of or related to your violation of this Terms of Use, or your violation of any law, regulation or third-party right.

8. Disclaimer of Warranties.

YOU EXPRESSLY AGREE THAT USE OF THE SITE AND RELIANCE ON ITS CONTENT IS AT YOUR OWN RISK. CARS.CO.KE, ITS AFFILIATES AND THEIR RESPECTIVE THIRD-PARTY LICENSORS DO NOT MAKE ANY REPRESENTATIONS OR WARRANTIES OF ANY KIND REGARDING THE SITE, THE SOFTWARE, THE CONTENT, THE MATERIALS, THE LISTING SERVICE OR THE RESULTS THAT MAY BE OBTAINED FROM USE OF ANY OF THE FOREGOING. THE SITE, THE SOFTWARE, THE CONTENT, THE MATERIALS AND THE LISTING SERVICE ARE PROVIDED ON AN "AS IS, AS AVAILABLE" BASIS, AND CARS.CO.KE, ITS AFFILIATES AND THEIR RESPECTIVE THIRD-PARTY LICENSORS SPECIFICALLY DISCLAIM ANY AND ALL EXPRESS OR IMPLIED WARRANTIES INCLUDING, WITHOUT LIMITATION, THE WARRANTIES OF FITNESS FOR A PARTICULAR PURPOSE, WARRANTIES OF MERCHANTABILITY AND WARRANTIES OF NONINFRINGEMENT. ALL INFORMATION RELATED TO VEHICLES AVAILABLE ON THIS SITE IS SUPPLIED BY THE SELLER OR OTHER THIRD PARTIES. CARS.CO.KE AND THE AFFILIATES MAKE NO REPRESENTATIONS OR WARRANTIES, EXPRESSED OR IMPLIED, TO ANY ACTUAL OR PROSPECTIVE PURCHASER OR OWNER OF ANY VEHICLE AS TO THE EXISTENCE, OWNERSHIP OR CONDITION OF THE VEHICLE, OR AS TO THE ACCURACY OR COMPLETENESS OF ANY INFORMATION ABOUT A VEHICLE ADVERTISED ON THE SITE. CARS.CO.KE CANNOT AND DOES NOT VERIFY OR WARRANT THE ACCURACY OR COMPLETENESS OF SUCH INFORMATION. CARS.CO.KE RESERVES THE RIGHT, IN ITS SOLE DISCRETION, TO CORRECT ANY ERROR OR OMISSION ON THE SITE OR IN THE CONTENT. ANY AND ALL CONCERNS, DIFFERENCES OR DISCREPANCIES REGARDING A VEHICLE MUST BE ADDRESSED WITH THE SELLER PRIOR TO THE SALE OF THE VEHICLE. EXCEPT AS EXPRESSLY SET FORTH IN THE SELL IT YOURSELF TERMS AND CONDITIONS, CARS.CO.KE DOES NOT MAKE AND EXPRESSLY DISCLAIMS ANY REPRESENTATIONS, WARRANTIES OR GUARANTEES TO YOU REGARDING THE LISTING SERVICE INCLUDING, WITHOUT LIMITATION, ANY REPRESENTATIONS, WARRANTIES OR GUARANTEES THAT YOU WILL SELL YOUR VEHICLE, OBTAIN AN ACCEPTABLE PRICE FOR YOUR VEHICLE, ONLY RECEIVE LEGITIMATE INQUIRIES OR SOLICITATIONS FROM QUALIFIED BUYERS, OR RECEIVE ANY INQUIRIES REGARDING YOUR VEHICLE FOR SALE. FOR PURPOSES OF THIS WARRANTY DISCLAIMER, "THIRD-PARTY LICENSOR" DOES NOT INCLUDE YOU.
 

9. LIMITATION OF LIABILITY.

THE ENTIRE RISK ARISING OUT OF THE USE OF THE SITE, THE USE OF ANY PRODUCTS AND/OR SERVICES OFFERED ON OR IN CONNECTION WITH THE SITE, AND/OR THE USE OF ANY CONTENT AND/OR DIGITAL DOWNLOADS REMAINS WITH YOU. IN NO EVENT SHALL CARS.CO.KE OR ITS LICENSORS OR ANY OF THEIR OFFICERS, DIRECTORS, EMPLOYEES, AGENTS ASSIGNEES OR AFFILIATES BE LIABLE FOR ANY CONSEQUENTIAL, INCIDENTAL, DIRECT, INDIRECT, SPECIAL, PUNITIVE, OR OTHER DAMAGES WHATSOEVER (INCLUDING, WITHOUT LIMITATION, DAMAGES FOR LOSS OF BUSINESS PROFITS, BUSINESS INTERRUPTION, LOSS OF BUSINESS INFORMATION, OR OTHER PECUNIARY LOSS) ARISING OUT OF THIS TERMS OF USE OR THE USE OF OR INABILITY TO USE ANY PRODUCTS, SERVICES, CONTENT AND/OR DIGITAL DOWNLOADS, WITH THE DELAY OR INABILITY TO USE THE CARS.CO.KE SITE OR RELATED SERVICES, THE PROVISION OF OR FAILURE TO PROVIDE PRODUCTS OR SERVICES, OR FOR ANY INFORMATION, SOFTWARE, PRODUCTS, SERVICES AND CONTENT OBTAINED THROUGH THE SITE, OR OTHERWISE ARISING OUT OF THE USE OF THE CARS.CO.KE SITE WHETHER BASED ON CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY OR OTHERWISE EVEN IF CARS.CO.KE HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. NOTWITHSTANDING ANYTHING ELSE IN THIS TERMS OF USE OR POSTED ON THE SITE, IN NO EVENT WILL THE AGGREGATE MAXIMUM LIABILITY OF CARS.CO.KE, ITS AFFILIATES, AND THEIR RESPECTIVE OWNERS, EMPLOYEES, AGENTS, CONTRACTORS AND THIRD-PARTY LICENSORS FOR ANY CLAIM EXCEED KENYA SHILLINGS ONE THOUSAND (KES 1 000). YOU ACKNOWLEDGE AND AGREE THAT THE LIMITATIONS OF LIABILITY, DISCLAIMERS OF WARRANTIES AND LIMITED REMEDIES SET FORTH HEREIN REPRESENT AN INSEPARABLE ALLOCATION OF RISK (INCLUDING, WITHOUT LIMITATION, IN THE EVENT OF A TOTAL AND FUNDAMENTAL BREACH OF THIS TERMS OF USE) THAT IS AN ESSENTIAL BASIS OF THE BARGAIN BETWEEN THE PARTIES.

10. Copyright Infringement.

Cars.co.ke respects the intellectual property of their respective proprietors and we expect others to do the same. If you believe that your copyright has been infringed or is being infringed through the Site, please contact as at:

Any written notice describing the infringing activity must include the following information:
1. An electronic or physical signature of the person authorized to act on behalf of the owner of an exclusive that is allegedly infringed;
2. A description of the allegedly infringing work or material;
3. A description of where the allegedly infringing material is located on the site;
4. Information reasonably sufficient to allow us to contact you, such as your address, telephone number and e-mail address;
5. A statement by you that you have a good faith belief that the disputed use of the material is not authorized by the copyright or other proprietary right owner, its agent, or the law; and
6. A statement by you that the above information and notification is accurate, and under penalty of perjury, that you are the copyright owner or authorized to act on behalf of the owner whose exclusive right is allegedly infringed.

11. General.

No delay or failure to take action under this Terms of Use shall constitute any waiver by Cars.co.ke of any provision of this Terms of Use. If any provision of this Terms of Use is invalid or unenforceable under applicable law, it is, to that extent, deemed enforceable to the fullest extent possible (and severable in the event such provision is completely unenforceable) and the remaining provisions of this Terms of Use will continue in full force and effect. This Terms of Use will bind and inure to the benefit of Cars.co.ke's permitted successors and assigns. Any claim under these Terms of Use must be brought within one (1) year after the cause of action arises. This Terms of Use shall be governed by the laws of the Republic of Kenya without regard to or application of any conflict of laws provisions. You consent to the exclusive jurisdiction of the Kenyan Courts at Nairobi. This Terms of Use is personal to you and may not be transferred, assigned or delegated to anyone. Any attempt by you to assign, transfer or delegate this Terms of Use shall be null and void. Cars.co.ke may freely assign this Terms of Use without consent or notice. This Terms of Use (including all documents expressly incorporated herein by reference, including but not limited, to the relevant authorities and limitations set by Cars.co.ke on the registration of an Account) constitutes the complete and exclusive agreement between Cars.co.ke and you with respect to the subject matter hereof and supersedes all prior oral or written understandings, communications or agreements not specifically incorporated herein.

Given the nature of the Site and the volume of messages and postings, Cars.co.ke cannot and does not monitor all of the Materials posted or transmitted by you and other third-party information providers. Cars.co.ke reserves the right, in its sole discretion, to monitor, refuse to publish, remove, delete, move or edit any Materials without notice, at any time for any reason. By using the Site, you expressly agree that Cars.co.ke (a) will not be liable to any claims, actions or judgments arising out of or related to any Materials and (b) may monitor, refuse to publish, remove, delete, move or edit any Materials without notice at any time for any reason, without liability and without providing a refund.

Almond Communications ("Almond") respects your privacy Almond and its subsidiaries and associates respect your privacy and are committed to protecting it. Almond provides this Privacy statement to inform you of our Privacy Policy and practices and of the choices you can make about the way your information is collected online and how that information is used.

This Privacy Statement covers personal information, non-personal data collection and aggregate reporting.
Personal information is information that is associated with your name or personal identity.
Almond uses personal information to understand better your needs and interests and to provide you with better service.
Once you choose to provide us with personal information, you can be assured it will be used only to support your customer relationship with Almond.
We take seriously the trust you place in us. Almond will not sell, rent or lease your personal information to others. On some Almond websites, you can order products or services, apply for instant credit, request information, subscribe to marketing or support materials, register yourself or your company(ies).
Almond products, or apply for a job at Almond. The types of personal information you provide to us on these pages may include name, address, phone number, e-mail address, user IDs and passwords, billing and transaction information, credit card information, contact preferences, educational and employment background, and job interest data.

3. Children's privacy

Almond is committed to protecting the privacy needs of children and we encourage parents and guardians to take an active role in their children's online activities and interests. Almond does not knowingly collect information from children under the age of 18 and Almond does not target its websites to children under 18.

4. How we use your information

Almond uses your personal information to provide you with services and to help us better understand your needs and interests. Specifically, we use your information to help you complete a transaction or order, to communicate with you, to provide service and support, to update you on services and benefits, to personalize promotional offers and to personalize some Almond websites.
Occasionally we may also use your information to contact you for market research regarding Almond products or services. Credit card information, where given is used only for payment processing and fraud prevention. Personal data given to Almond may be transferred across state and country borders for the purposes of data consolidation, storage and simplified customer information management. Non-personal data is aggregated for reporting about Almond website usability, performance, appeal and effectiveness. It is used to improve the customer experience, usability and site content.

5. Who we share your information with.

Almond will not sell, rent or lease your personal information to others. Almond will not share your personal information with third parties except in responding to your requests for products or services. Your permission will be requested when you submit your information. Almond shares customer information across Almond-owned business entities and companies working on our behalf, but only as described above in "How we use your information." Almond contracts with third-party service providers and suppliers to deliver complete products, services and customer solutions described in "How we use your information."
Suppliers and service providers are required to keep confidential the information received on behalf of Almond and may not use it for any purpose other than to carry out the services they are performing for Almond. These service providers may change or we may contract with additional service providers to better accommodate our customers. Almond will not share personal information with any other third parties without your permission, unless required by law enforcement action, subpoena, or local law. Almond or its related entities could merge with or be acquired by another business entity or some or all of their respective assets could be acquired. If such a combination or acquisition occurs, Almond will make every reasonable effort to notify you in the event we share with the merging or acquiring entity some or all of your personal information to continue serving you.

6. Your choices.

Almond gives you the choice of receiving a variety of information that complements our products and services. You can subscribe to receive certain product- and service-specific information and Almond-wide marketing communications.
Almond-wide communications may include new product information, special offers, or an invitation to participate in market research. We give you a choice regarding delivery of Almond-wide communications by postal mail, e-mail and telephone. You can make or change your choices at the data collection point. Please refer to section 7 for further instructions. We will make every effort to honor your preferences. This option does not apply to communications for the purpose of administering order completion, contracts, support, product safety warnings or driver updates.

7. Your privacy preferences and opting out Non-subscription services.
Almond will not use your personal information for a different purpose than the one stated when you provided your data. Examples of unrelated uses include sending communications about special offers, product information, and marketing messages. You can, however, choose to receive these types of non-subscription communications by writing to the Almond's Office using the contact details below and specifying your privacy preferences - be sure to provide your name, e-mail and postal address in all correspondence. 8. Your information and third-party companies.

Certain Almond services are linked with those from unrelated third-party companies, some which offer you the option to share with both Almond and the third party personal data you provide. Examples include the ability to register software products from multiple vendors from a single Almond Web page, to request communications from Almond marketing or solution partners, or to enable order completion through a reseller. We will not share your personal information with those third-party companies unless you make that choice.

Almond strives to keep your personal information accurate. We have implemented technology, management processes and policies to maintain customer data accuracy. To change your personal information, kindly write Almond or use any available web tool to modify any details.

If there are updates to the terms of Almond's Online Privacy Statement, we will post those changes and update the revision date in this document, so you will always know what information we collect online, how we use it, and what choices you have.
